User acknowledges that it is not relying on any representation made by any person or entity other than Licensee in entering into this Agreement with Licensee. No warranty, representation or agreement shall be deemed to be made by any person or entity other than Licensee for the benefit of User or any third party. User acknowledges that it must look solely to Licensee in connection with any warranty claim concerning the Product.

Because some states or jurisdictions do not allow the exclusion or limitation of liability for certain damages, the above limitation may not apply to you.

ELO TOUCH SCREEN SOFTWARE LICENSE

HEREUNDER AND USER'S SOLE REMEDY FOR ANY BREACH OF THE WARRANTIES CONTAINED HEREIN OR IMPLIED BY LAW AND INCAPABLE OF EXCLUSION, RESTRICTION OR MODIFICATION UNDER THE LAWS APPLICABLE TO THIS AGREEMENT SHALL BE LIMITED TO, AT THE OPTION OF LICENSEE: (i) REFUND OF THE LICENSE FEE PAID, IF ANY, FOR THE PRODUCT OR (ii) REPLACEMENT OF THE PRODUCT AS DELIVERED BY LICENSEE. THE MAXIMUM LIABILITY OF LICENSEE OR 3M TOUCH SYSTEMS, INC. THE PROVISIONS OF THIS PARAGRAPH WILL SURVIVE ANY TERMINATION OF THIS AGREEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER LICENSEE, 3M TOUCH SYSTEMS, INC., NOR ANYONE ELSE INVOLVED IN CREATING, PRODUCING OR DELIVERING THE PRODUCT SHALL BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY OR CONSEQUENTIAL DAMAGES ARISING OUT OF USE OF THE PRODUCT OR INABILITY TO USE THE PRODUCT (INCLUDING, BUT NOT LIMITED TO, DOWNTIME, DAMAGE TO OR REPLACEMENT OF PROGRAMS AND DATA), ARISING FROM CLAIMS BASED IN WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE, EVEN IF SUCH PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH CLAIM OR DAMAGE.

ELO TOUCH SCREEN SOFTWARE SOFTWARE

WARRANT THAT THE LICENSED SOFTWARE WILL MEET THE REQUIREMENTS OF THE USER OR ANY END-USER OR THAT THE OPERATION OF THE LICENSED SOFTWARE WILL BE UNINTERRUPTED OR ERROR FREE. NEITHER LICENSEE NOR 3M TOUCH SYSTEMS, INC. THE ENTIRE RISK AS TO THE SELECTION, DISTRIBUTION AND USE OF THE LICENSED SOFTWARE IS WITH USER. DISCLAIM ALL WARRANTIES, WHETHER STATUTORY, EXPRESS, IMPLIED, ORAL OR WRITTEN, INCLUDING ALL WARRANTIES OF NONINFRINGEMENT, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. THE LICENSED SOFTWARE IS PROVIDED WITHOUT ANY WARRANTY WHATSOEVER.

USER ACCEPTS THE LICENSED SOFTWARE "AS IS' AND "WITH ALL FAULTS'.

User agrees to secure and protect the Product and copies thereof in a manner consistent with the maintenance of Licensee's and 3M Touch Systems, Inc.'s rights therein and to take appropriate action by instruction or agreement with its employees and other parties who have access to the Product or copies thereof to satisfy its obligations hereunder. User shall not create any derivative work based on the Product or remove, modify or obscure any copyright or other proprietary notice of Licensee or 3M Touch Systems, Inc. User shall not sell, lease, transfer, publish, disclose, display or otherwise make available the Product or copies thereof in any form to any third parties.

and all right, title and interest, including all intellectual property rights therein, shall remain with 3M Touch Systems, Inc. The Product and all copies thereof are the proprietary property of 3M Touch Systems, Inc. User shall not alter, reverse engineer, or reverse compile the Product.

ELO TOUCH SCREEN SOFTWARE ARCHIVE

Upon termination, User shall cease all use of the Product and shall return all copies of the Product to Licensee or destroy or render unusable the Product and all archive or other copies thereof. This license will terminate automatically without notice if the User fails to comply with the provisions of this Agreement.

This license is effective until terminated.

The Product or any copies or portions thereof may not be modified or transferred. Licensee's licensor, 3M Touch Systems, Inc., retains ownership of the Product and all copies thereof, regardless of the form in which copies may exist, and the Product is protected by United States copyright laws and international treaty provisions. This license is not a sale of the Product, or any copies thereof. touch sensitive input device and electronics, and only for User's internal use and archive purposes.

ELO TOUCH SCREEN SOFTWARE INSTALL

Subject to the following terms and conditions, ("Licensee") grants to you ("User") a limited, nonexclusive license to install and use the enclosed software and documentation (the "Product") solely in conjunction with an authorized Licensee product that includes a 3M Touch Systems, Inc.
